Terms and Conditions
These Terms and Conditions (“Terms”) govern your access to and use of CrutionResto, a restaurant operations platform operated by Crution Pvt Ltd (“Crution”, “we”, “us”, or “our”). By creating an account, accessing the Service, or clicking to accept these Terms, you agree to be bound by them.
If you are accepting on behalf of a restaurant, company, or other entity, you confirm that you have authority to bind that entity. If you do not agree, do not use the Service.
1. The Service
CrutionResto provides software tools for restaurant operations, which may include point of sale, kitchen display, QR / guest ordering, billing and GST invoicing, inventory, CRM, reports, multi-outlet management, and related features (the “Service”). Features available to you depend on your plan and configuration.
We may improve, add, or discontinue features with reasonable notice where a change materially reduces core functionality you paid for. Marketing pages describe intended capabilities; they are not a warranty of uninterrupted availability of every feature at every outlet.
2. Accounts and access
- You must provide accurate registration information and keep it current.
- You are responsible for all activity under your workspace, including staff accounts and roles you grant.
- Keep credentials confidential. Notify us promptly if you suspect unauthorised access.
- We may suspend or restrict access for security, abuse, non-payment, or legal risk.
3. Your content and restaurant data
You retain ownership of menus, orders, customer records, invoices, and other data you or your guests submit to the Service (“Customer Data”). You grant us a limited licence to host, process, transmit, and display Customer Data solely to provide and improve the Service, comply with law, and as described in our Privacy Policy.
You represent that you have all rights and consents needed to upload and process Customer Data (including guest and staff personal data) under applicable law.
4. Acceptable use
You agree not to:
- use the Service for unlawful, fraudulent, or harmful purposes;
- interfere with or disrupt the Service, security, or other customers;
- attempt to access systems or data you are not authorised to access;
- reverse engineer, scrape, or misuse APIs except as we expressly allow;
- upload malware or content that infringes others’ rights;
- misrepresent tax, pricing, or payment information to guests or authorities.
5. Payments, taxes, and your guest transactions
Subscription fees for the CrutionResto platform are governed by our Subscription & Pricing Terms.
Money collected from your guests (cash, card, UPI, wallets, aggregators) is between you, your payment providers, and your customers. Crution is not a party to those sales, does not hold guest funds as your merchant of record for restaurant orders, and is not responsible for chargebacks, settlement delays, or aggregator disputes unless we expressly agree otherwise in writing.
You are solely responsible for configuring taxes (including GST), issuing lawful invoices, and meeting your own tax and regulatory obligations.
6. Third-party services
The Service may integrate with third parties (for example payment gateways, email providers, maps, translation, or food aggregators). Their terms and privacy practices apply to your use of those services. We are not responsible for third-party outages, fees, or data handling outside our control.
7. Intellectual property
The Service, software, branding, and documentation are owned by Crution or its licensors. Except for the limited right to use the Service under these Terms, no rights are granted. You may not copy, sublicense, or create derivative works of our software except as permitted by law.
8. Confidentiality
Each party may receive non-public information from the other. The receiving party will use it only to perform under these Terms and will protect it with reasonable care. Customer Data is treated as your confidential information, subject to the Privacy Policy and legal process.
9. Disclaimer
The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that tax/invoice outputs will satisfy every regulatory requirement for your specific circumstances — you remain responsible for compliance.
10. Limitation of liability
To the maximum extent permitted by law, Crution and its directors, employees, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data, arising from your use of the Service.
Our aggregate liability arising out of these Terms or the Service in any twelve-month period is limited to the fees you paid us for the Service in that period (or, if none, INR 5,000).
Nothing in these Terms excludes liability that cannot be excluded under applicable law (including for fraud or personal injury caused by negligence where such exclusion is prohibited).
11. Indemnity
You will indemnify and hold Crution harmless from claims, losses, and expenses (including reasonable legal fees) arising from your Customer Data, your use of the Service, your guest transactions, your tax or regulatory non-compliance, or your breach of these Terms.
12. Suspension and termination
You may stop using the Service at any time and cancel a paid subscription as described in the Subscription & Pricing Terms. We may suspend or terminate access for material breach, non-payment, legal risk, or prolonged inactivity. Upon termination, your right to use the Service ends. We may delete or anonymise Customer Data after a reasonable retention period, subject to law and our Privacy Policy.
13. Changes
We may update these Terms from time to time. Material changes will be posted on this page with an updated “Last updated” date, and where appropriate we will notify account owners by email or in-product notice. Continued use after the effective date constitutes acceptance of the updated Terms.
14. Governing law and disputes
These Terms are governed by the laws of India. Courts in India shall have exclusive jurisdiction, subject to any mandatory consumer protections that apply to you.
